Terms of Service

These Terms of Service (“Terms”) govern your use of the NudgeBot application and website at https://nudgebot.xyz (collectively, the “Service”), operated by NudgeBot (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- “Account” means your registered NudgeBot account.
- “Organization” means the workspace or team you create within NudgeBot.
- “User” or “you” means anyone who accesses or uses the Service.
- “Subscription” means a paid plan (Team or Business) for the Service.
- “Content” means any data, text, messages, or information processed through the Service.
2. Eligibility
You must be at least 16 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information during registration and to keep it up to date. You are responsible for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. Description of Service
NudgeBot is a Slack integration that uses AI to monitor chat messages in your designated channels and automatically detect task completions. When a task completion is detected, NudgeBot syncs the update to your connected Project Management tools (such as Linear, Trello, Asana, Jira, and Notion).
The Service processes Slack messages using Anthropic’s Claude AI to identify task-related signals. We do not guarantee 100% accuracy in task detection. The AI-based analysis is provided as a productivity tool and should not be relied upon as the sole source of truth for project management.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or malicious purpose
- Abuse, overload, or interfere with the Service’s infrastructure or API rate limits
- Reverse-engineer, decompile, or disassemble any part of the Service
- Attempt to gain unauthorized access to other users’ accounts or data
- Use the Service to monitor, collect, or process messages without proper authorization from your workspace members
- Transmit malware, spam, or other harmful content through the Service
- Resell, sublicense, or redistribute the Service without our prior written consent
- Use the Service in any manner that violates Slack’s Terms of Service or any connected third-party platform’s terms
We reserve the right to suspend or terminate your access if you violate these terms or engage in activity that we determine, in our sole discretion, to be harmful to the Service or other users.
6. Subscriptions & Billing
6.1 Free Tier
NudgeBot offers a free tier for up to 5 team members. The free tier includes core functionality with limited features as described on our pricing page.
6.2 Paid Plans
Paid subscriptions (Team and Business plans) are billed either monthly or annually, at the rate displayed at the time of purchase. All fees are quoted in US Dollars (USD) unless otherwise stated.
6.3 Payment Processing
All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You agree to Stripe’s Terms of Service and Privacy Policy.
6.4 Cancellation
You may cancel your subscription at any time through your account settings or via the Stripe Customer Portal. Upon cancellation:
- Your subscription will remain active until the end of the current billing period
- You will not be charged for subsequent billing periods
- Your account will revert to the free tier at the end of the paid period
6.5 Refund Policy
No refunds are provided for partial billing periods. If you cancel mid-cycle, you retain access to paid features until the end of your current billing period. We do not offer pro-rated refunds. In exceptional circumstances, refund requests may be considered at our sole discretion.
6.6 Price Changes
We reserve the right to change our pricing at any time. If we change pricing for an existing subscription, we will provide at least 30 days’ notice before the new price takes effect. Your continued use of the Service after the price change constitutes acceptance of the new pricing.
7. Intellectual Property
The Service, including its design, features, code, documentation, and branding, is owned by NudgeBot and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain ownership of all data and content you provide to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing and improving the Service.
8. Third-Party Integrations
The Service integrates with third-party platforms including Slack, Asana, Trello, Jira, Notion, and Linear. Your use of these integrations is subject to the respective third-party’s terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
You are responsible for ensuring you have the necessary permissions and authorizations to connect your third-party accounts to NudgeBot.
9. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.
10. Service Availability & Disclaimer
The Service is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the Service, including but not limited to:
- Merchantability or fitness for a particular purpose
- Uninterrupted or error-free operation
- Accuracy or reliability of AI-based task detection
- Compatibility with all third-party platforms at all times
We do not guarantee 100% uptime. While we strive to maintain high availability, the Service may be subject to scheduled maintenance, unscheduled downtime, or interruptions caused by factors beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance.
11. Limitation of Liability
To the maximum extent permitted by applicable law, NudgeBot and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with:
- Your use of or inability to use the Service
- Any errors or inaccuracies in AI-based task detection
- Unauthorized access to or alteration of your data
- Any third-party conduct on the Service
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless NudgeBot and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from: (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use the Service ceases immediately
- We may delete your data in accordance with our Privacy Policy
- Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue in effect

14. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.
15. Changes to These Terms
We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
16. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NudgeBot operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and NudgeBot regarding the Service. They supersede all prior agreements, understandings, and representations.
